Welcome to [VELGATO HEALTH] (“we,” “us,” or “our”). By accessing or using our platform and services (“Services”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Services.

Payment Terms & Service Structure

All services are delivered under a prepaid model to ensure reliable clinician coverage, faster scheduling, and uninterrupted care.

How it works:

• Clients fund services in advance based on projected visits or shifts

• Services are deducted as care is delivered

• Additional funds can be added at any time to maintain continuity

Why prepaid:

• Priority access to available clinicians

• Faster fulfillment of urgent requests

• No delays due to billing or collections

• Guaranteed coverage (best efforts)

1. Eligibility

• You must be at least 18 years old to use our Services.

• By registering, you represent and warrant that you have the legal capacity to enter into this agreement.

2. Account Registration & Security

• You must provide accurate, complete, and up-to-date information when creating an account.

• You are responsible for maintaining the confidentiality of your account credentials.

• All activity under your account is your responsibility.

3. Use of Services

• The platform provides job posting, application management, resume search, and AI-powered tools.

• You agree not to:

  • Use the Services for illegal purposes.

  • Copy, reproduce, distribute, or sell content from the platform.

  • Scrape, reverse engineer, or misuse any part of the Services.

  • Share downloaded resumes or personal data of job seekers with third parties.

• ​

4. Subscription Plans & Payments

• Access to certain features requires subscription or pay-per-use fees.

• Payments are non-refundable unless explicitly stated.

• A $39 platform usage fee applies on all transactions.

• We may update pricing with 30 days’ notice.

• A 3% credit card processing fee applies on all transaction.

• Unauthorized use of our Services beyond your subscription limits is prohibited.

• Disclaimer: We provide the tools—you drive the hires. We do not guarantee, hiring or placements, or results outcomes.

5. Job Postings & Content

• Employers are responsible for the accuracy and legality of their job postings.

• Job seekers are responsible for the accuracy of submitted resumes and profile information.

• By posting content, you grant us a license to use, display, and distribute it as necessary to operate the Services.

• We reserve the right to remove content that violates these Terms.

• Disclaimer: We provide the tools—you drive the hires. We do not guarantee, hiring or placements, or results outcomes.

6. Resume Access & Restrictions

• Resume downloads and AI resume suggestions are limited according to your subscription plan.

• Resumes are for internal recruitment purposes only and may not be redistributed, sold, or shared outside your organization.

• Misuse of resume data may result in immediate account termination.

7. Privacy

• Your use of the Services is governed by our Privacy Policy, which explains how we collect, use, and store information.

• By using the Services, you consent to the collection and use of data as described in the Privacy Policy.

8. Intellectual Property

• All content, logos, designs, software, and other materials on the platform are owned by us or our licensors.

• You may not use our intellectual property without explicit permission.

9. AI Tools Disclaimer

• AI features, including resume suggestions or candidate ranking, are assistive tools and do not guarantee hiring outcomes.

• We are not liable for hiring decisions based on AI recommendations.

10. Limitation of Liability

• We are not responsible for:

  • Lost profits, business opportunities, or data.

  • Any errors or inaccuracies in content, resumes, or AI suggestions.

  • Unauthorized access or use of your account.

• Use of the Services is at your own risk.

11. Indemnification

• You agree to indemnify, defend, and hold harmless Velgato Health from any claims, damages, or expenses arising from:

  • Your use of the Services.

  • Your violation of these Terms.

  • Your violation of laws or third-party rights.

12. Termination

• We may suspend or terminate your account for violations of these Terms or misuse of the Services.

• You may terminate your account at any time.

13. Arbitration Agreement

• Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration, rather than in courts.

• The arbitration will be conducted under the rules of the American Arbitration Association (AAA) (or a similar arbitration provider).

• The arbitrator’s decision will be final and binding.

• You agree that any arbitration will be conducted on an individual basis, and class or collective actions are prohibited.

14. Changes to Terms

• We may update these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.

1. Velgato's Role

Velgato Health is a healthcare staffing and workforce platform.

Velgato's responsibilities are limited to:

• Matching qualified clinicians with Client staffing requests.

• Recruiting and assigning qualified clinicians.

• Confirming clinician availability.

• Collecting and verifying required clinician credentials, when applicable.

• Collecting all required payments from the client & making payments directly to all clinicians

Velgato does not provide medical care, direct patient care, supervise clinicians, or manage the Client's operations.

2. Client Responsibilities

The Client is solely responsible for:

• Determining that a clinician is appropriate for each assignment.

• Supervising, directing, and overseeing clinicians.

• Assigning duties and managing schedules.

• Providing orientation, equipment, supplies, access, and charting systems.

• Ensuring a safe working environment.

• All patient care, treatment decisions, and clinical outcomes.

• Compliance with all applicable federal, state, and local laws.

• HIPAA compliance and protection of patient information.

• Maintaining all required licenses, permits, certifications, and insurance.

• Reporting any incidents or adverse events to the appropriate authorities.

• The Client acknowledges and agrees that it remains solely responsible for:

• Patient scheduling and visit management.

• Monitoring visit frequencies and episode timelines.

• Patient communications.

• Clinical supervision and oversight.

• OASIS documentation, documentation review, and quality assurance.

• Physician orders and care planning.

• EMR/EHR management.

• Billing, coding, and reimbursement.

• Regulatory compliance.

• Client retains full responsibility for all clinical, operational, and administrative functions of its business, including but not limited to:

• Patient scheduling, visit planning, and workflow management

• Clinical supervision and oversight of all patient care

• Documentation, compliance, and EMR/EHR management

• Billing, coding, and reimbursement activities

• Coordination of internal staff, vendors, and third-party services

• Determination of staffing needs and timing of requests

• Velgato Health does not assume, replace, or supplement internal operational functions of the Client’s business

3. Clinician Responsibility

Clinicians are responsible for performing services within the scope of their professional license and complying with the Client's policies and lawful instructions.

4. No Medical Direction

Velgato does not:

• Practice medicine or nursing.

• Supervise clinical work.

• Make treatment decisions.

• Control patient care.

• Assume responsibility for clinical services.

All clinical services are performed under the Client's supervision.

5. Payments

Clients agree to pay all agreed fees before payment is released to the clinician unless otherwise agreed in writing.

Velgato may deduct agreed platform fees, service fees, rush fees, processing fees, or other applicable charges before disbursing payment.

Late payments may result in suspended services, cancellation of assignments, interest on overdue balances, and collection costs.

6. Cancellations

Cancellation fees may apply if an assignment is canceled after a clinician has accepted the assignment or within the applicable cancellation period.

If a clinician fails to report or cancels, Velgato will make commercially reasonable efforts to identify a replacement but does not guarantee replacement availability.

7. Independent Parties

Velgato and the Client are independent businesses.

Nothing in this Agreement creates a partnership, joint venture, agency relationship, or employment relationship between Velgato and the Client.

8. No Employment Relationship

Unless otherwise expressly agreed in writing, clinicians are not employees of the Client by virtue of being matched through Velgato.

​

9. Compliance

The Client agrees to comply with all applicable healthcare laws, labor laws, privacy laws, reimbursement requirements, accreditation standards, and licensing regulations.

​

10. Limitation of Liability

To the maximum extent permitted by law, Velgato shall not be liable for:

• Patient outcomes.

• Clinical decisions.

• Medical errors.

• Treatment plans.

• The actions or omissions of the Client.

• Workplace conditions.

• Regulatory violations.

• Loss of revenue, profits, contracts, goodwill, or consequential damages.

Velgato's total liability shall not exceed the total service fees paid to Velgato for the specific assignment giving rise to the claim.

11. Indemnification

The Client agrees to defend, indemnify, and hold harmless Velgato, its owners, officers, employees, contractors, and affiliates from any claims, lawsuits, damages, liabilities, penalties, fines, costs, or attorney's fees arising from:

• Patient care.

• Clinical services.

• Client supervision.

• Workplace injuries.

• Regulatory violations.

• HIPAA violations.

• Negligence or misconduct by the Client.

• Any act or omission occurring after the clinician begins the assignment under the Client's supervision.

12. No Guarantee

Velgato does not guarantee:

• Availability of clinicians.

• Acceptance of assignments.

• Continuous staffing.

• Specific outcomes.

• Financial results.

• Patient outcomes.

13. Confidentiality

Each party agrees to maintain the confidentiality of all non-public business information and patient information and to comply with all applicable privacy laws.

14. Force Majeure

Velgato shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, government actions, pandemics, labor disputes, internet outages, or other unforeseen events.

​

15. Governing Law

This Agreement shall be governed by the laws of the State of California unless otherwise required by applicable law.

​

16. Severability

If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

​

17. Entire Agreement

These Terms constitute the entire agreement between the parties regarding Velgato's staffing services unless superseded by a separate written agreement signed by both parties.

18. Acceptance

By requesting staffing services, scheduling a clinician, making payment, or using the Velgato platform, the Client acknowledges that it has read, understood, and agrees to these Terms of Service.

VELGATO HEALTH

Cancellation & Refund Policy

By submitting a staffing request through Velgato Health, the Client agrees to the following Cancellation and Refund Policy.

​

1. Booking & Payment

Payment is due at the time a staffing request is submitted. Velgato begins sourcing qualified clinicians immediately upon receipt of payment.

A staffing assignment is considered confirmed once a qualified clinician accepts the assignment and Velgato confirms the booking with the Client.

​

2. Client Cancellation

If the Client cancels a confirmed staffing or recruitment assignment for any reason after a clinician has accepted the assignment, Velgato will retain fifty percent (50%) of the total clinician fee paid by the Client as a cancellation fee.

The cancellation fee covers recruitment, scheduling, coordination, administrative services, and reserved clinician availability.

Velgato reserves the right to compensate the clinician from the cancellation fee when appropriate.

3. Velgato Unable to Provide Coverage

If Velgato is unable to secure a qualified clinician for the requested assignment, the Client will receive a 100% refund of all amounts paid for that assignment.

Refunds will be processed within three (3) to five (5) business days. The time required for funds to appear in the Client's account may vary depending on the Client's financial institution or payment provider.

4. Refund Method

Approved refunds will be issued to the original payment method used by the Client unless otherwise agreed in writing.

5. Policy Changes

Velgato Health reserves the right to modify this Cancellation and Refund Policy at any time. Any changes will apply prospectively and will not affect staffing requests that have already been confirmed unless otherwise agreed by the parties.

By submitting a staffing request, making payment, or using Velgato Health's services, the Client acknowledges that it has read, understands, and agrees to this Cancellation and Refund Policy.
